7.1 Understanding Our Refund Structure

To maintain the highest quality of service and cover the significant resource allocation (dedicated developers, servers, API costs, design hours, and project management), our refund policy is structured with complete transparency:

7.1.1 Project Initiation & Resource Allocation

When you start a project with Nytosik, we immediately allocate significant resources:

  • Dedicated Team Assignment: Project manager, developers, designers assigned to your project
  • Infrastructure Setup: Development servers, databases, staging environments provisioned
  • Third-Party Services: API keys, software licenses, cloud services activated
  • Planning & Architecture: System design, database schema, wireframes created
  • Opportunity Cost: We reserve team capacity exclusively for your project

7.1.2 Refund Calculation Methodology

Within the 30-day satisfaction period, refunds are calculated based on project progress:

Important Note on Digital Assets:

Since digital products (code, designs, documentation, databases) are intangible and cannot be "returned", any work delivered or showcased during the development phase remains our intellectual property if a refund is issued. You will receive only the work completed up to the point of cancellation, and we retain ownership of all code and assets created.

7.2 Refund Eligibility Criteria

To be eligible for a refund, the following conditions must be met:

  • Refund request must be submitted in writing to accounts@nytosik.com
  • Request must be made within the 30-day satisfaction period (exceptions only for contract breaches)
  • Client must provide reasonable feedback and cooperate during the refund assessment
  • All NDA and confidentiality agreements remain in effect
  • Client must return or destroy any preliminary work provided (if applicable)

7.3 Non-Refundable Items

  • Third-Party Costs: Domain registrations, SSL certificates, software licenses, API subscriptions
  • Setup Fees: Initial consultation fees, project setup fees (if separately charged)
  • Maintenance Packages: Pre-paid maintenance or support packages (used or unused)
  • Marketing Campaigns: Ad spend, content creation costs for marketing services
  • Rush Fees: Additional charges for expedited delivery

8. Project Cancellation Policy

8.1 How to Cancel

To cancel a project, you must provide written notice to projects@nytosik.com with the subject line "PROJECT CANCELLATION - [Project Name]". Your cancellation will be effective upon our confirmation.

8.2 Cancellation Effects

  • All work in progress will be stopped immediately
  • You will receive an invoice for work completed up to the cancellation date
  • Any applicable refund will be processed within 15 business days
  • All intellectual property created up to cancellation remains with Nytosik unless otherwise agreed
  • Domain transfers, hosting migrations will be handled separately (fees may apply)

8.3 Client-Initiated Delays

If project delays are caused by the client (delayed feedback, unavailable resources, scope changes), the 30-day satisfaction period is not extended. Refund calculations are based on the original timeline.

9. Dispute Resolution & Governing Law

9.1 Governing Law

These policies shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these policies shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.

9.2 Dispute Resolution Process

  1. Negotiation: First, both parties shall attempt to resolve any dispute through good-faith negotiations within 30 days.
  2. Mediation: If negotiation fails, disputes shall be referred to mediation at the Jaipur Mediation Centre.
  3. Arbitration: If mediation fails, disputes shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
  4. Courts: As a last resort, disputes may be brought before the courts in Jaipur.

9.3 Limitation of Liability

To the maximum extent permitted by law, Nytosik shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, or the like that may be transmitted to or through our services

Our total liability to you shall not exceed the amount paid by you to us during the twelve months preceding the claim.
